1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and REAL TO CLOSE LLC ("RealToClose," "we," "our," or "us"), a Florida limited liability company. By creating an account, accessing, or using the RealToClose platform ("Service"), you agree to be bound by these Terms.

If you are accepting these Terms on behalf of a company, brokerage, or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

RealToClose is an AI-powered customer relationship management (CRM) platform designed for licensed real estate professionals. The Service includes:

AI-powered SMS conversations with leads via automated agents
AI-powered voice calls via automated agents
Lead management and tracking
Conversation scenario templates
Bulk campaign management
Team management with role-based access
10DLC compliant messaging infrastructure

3. Eligibility

The Service is intended for use by licensed real estate professionals in the United States. By using the Service, you represent that:

You are at least 18 years of age
You are a licensed real estate professional or are authorized by a licensed professional to use the Service
You have the legal capacity to enter into this agreement
You will comply with all applicable federal, state, and local laws

4. Account Registration and Security

When you register for an account, you agree to:

Provide accurate, current, and complete information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access
Accept responsibility for all activity under your account

Each account is assigned a unique subdomain (e.g., yourcompany.realtoclose.com) and an isolated database. You are responsible for all users you add to your account.

5. Billing, Payments, and Credits

5.1 Subscription Plans

The Service is offered on a monthly subscription basis. By subscribing to a plan, you authorize RealToClose to charge your payment method on a recurring monthly basis at the rate of your selected plan.

5.2 Credits

Each plan includes a monthly allocation of credits. Credits are consumed when sending SMS messages (1 credit per message) or placing AI voice calls (5 credits per call). Unused monthly credits do not carry over to the next billing cycle. Additional credit packs may be purchased at any time and do not expire while your subscription is active.

5.3 Cancellation

You may cancel your subscription at any time from your account dashboard. Upon cancellation:

Your account remains active until the end of your current billing period
No refunds will be issued for partial months or unused credits
After the billing period ends, your account will be suspended
Your data will be retained for 90 days after suspension, after which it may be permanently deleted

5.4 Price Changes

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle following the notice period.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You acknowledge that you are solely responsible for compliance with all applicable laws, including but not limited to the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all applicable state regulations regarding automated communications.

7. Data and Privacy

Your use of the Service is also subject to our Privacy Policy. You acknowledge that:

You are the data controller for all lead and contact data you upload to the Service
You are responsible for obtaining proper consent from individuals before uploading their data
RealToClose acts as a data processor on your behalf
Each account has an isolated database; your data is not shared with other users

8. Intellectual Property

The Service, including its software, design, AI agents, conversation scenarios, and all related intellectual property, is owned by REAL TO CLOSE LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You may not copy, modify, distribute, or reverse engineer any part of the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REAL TO CLOSE LLC SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Loss of profits, data, business opportunities, or goodwill
Any damages resulting from your use of or inability to use the Service
Any damages resulting from messages sent through the Service
Any regulatory fines, penalties, or actions arising from your use of the Service

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless REAL TO CLOSE LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms or the Acceptable Use Policy
Your violation of any applicable law or regulation
Any claim by a third party related to communications sent through your account
Any data you upload to the Service

11. Modifications to Terms

We may modify these Terms at any time. When we make material changes:

We will notify you through the platform with a legal update notification
You will be required to review and accept the updated Terms to continue using the Service
If you do not accept the updated Terms, your access to the Service will be restricted until acceptance
Continued use of the Service after acceptance constitutes agreement to the modified Terms

12. Termination

We reserve the right to suspend or terminate your account at any time if:

You violate these Terms or the Acceptable Use Policy
Your use of the Service poses a risk to other users or our infrastructure
We are required to do so by law
Your account is used for fraudulent or illegal activity

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of the State of Florida.
